By-Laws of the Club
Status and Authority
These By-Laws are made under Rule 16(3) of the Club Rules.
They are binding upon all members of the Society.
These By-Laws supplement, but do not replace or override, the registered Rules of the Society. In the event of conflict, the Rules shall prevail.

By-Law 1 – Governance Sub-Committee
- The Committee may establish a Governance Sub-Committee.
- The purpose of the Governance Sub-Committee is to:
- Review governance structure;
- Propose amendments to the Rules or By-Laws;
- Review governance compliance matters;
- Make recommendations to the Committee.
- The Governance Sub-Committee shall not exercise independent executive authority.
- All recommendations of the Governance Sub-Committee shall be subject to approval by the Committee.
By-Law 2 – Chairing of Committee Meetings
- The President shall chair Committee meetings.
- In the absence of the President, the Vice-President shall chair.
- If neither is present, the Committee shall appoint a member present to chair the meeting.
- The Chair shall have a casting vote in the event of equality of votes.
By-Law 3 – Assistant Officers
- The Committee may appoint Assistant Officers to support the Treasurer, Secretary, or other Officers.
- Assistant Officers:
- Shall not be constitutional Officers;
- Shall not be statutory signatories unless separately authorised;
- Shall act only within authority expressly delegated by resolution.
- Delegation of authority shall be recorded in the minutes.
By-Law 4 – Property Management
- Any letting, licensing, or disposal of Club property shall require formal Committee approval.
- No individual member may commit the Club to property transactions without prior resolution.
- Where appropriate, professional advice shall be obtained before significant property commitments are made.
By-Law 5 – Membership Renewal Control
- The Committee may determine administrative arrangements for renewal of membership subscriptions.
- Members whose subscriptions are unpaid in accordance with Rule 9 may have their rights suspended in accordance with the Rules.
- Restoration of membership following lapse shall be subject to Committee approval where required by the Rules.
By-Law 6 – Conduct of Members in Governance Matters
- Members shall conduct themselves in a manner consistent with the objects and reputation of the Club.
- Conduct rendering a member unfit may be addressed in accordance with Rule 13.
- Committee members shall uphold collective responsibility in decision-making.
By-Law 7 – Delegated Authority and Access to Systems
- The Committee may delegate limited authority to members or staff for defined administrative purposes.
- Delegation shall:
- Be recorded by resolution;
- Define scope and limits;
- Be revocable at any time.
- Delegation does not create a constitutional office.
Amendment and Review
These By-Laws may be amended or revoked by the Committee in accordance with the authority granted under Rule 16(3) of the Club Rules.
A consolidated version shall be maintained and published on the Members' Information site.
